Terms of Service

These Terms of Service ("Terms") govern your use of HeyDiane, operated by S&C Holding GmbH.

1. Agreement

By creating an account or using HeyDiane, you agree to these Terms. If you do not agree, do not use our service.

2. Service Description

HeyDiane is a conversation archive application that:

• Imports audio recordings (upload, email, cloud storage, HeyPocket)
• Transcribes conversations with speaker detection using AI
• Stores and organizes your recordings and transcripts
• Answers questions about your conversations and generates summaries, documents and exports

3. Account

3.1 Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account.

3.2 Eligibility

You must be at least 16 years old to use HeyDiane.

3.3 Account Security

You are responsible for all activity under your account. Notify us immediately of unauthorized access.

4. Plans and Billing

4.1 Demo Access

New users receive a demo workspace with a sample conversation to explore all features at no cost. Uploading and connecting your own sources requires an active plan or a promo code.

4.2 Paid Plans

HeyDiane offers a one-time 3-day pass and monthly or yearly subscriptions with different quotas. Current pricing is shown in your workspace settings on www.heydiane.ai.

4.3 Billing

• Subscriptions are billed monthly or annually; the 3-day pass is a one-time payment
• Payments are processed through Stripe
• Prices include applicable VAT

4.4 Cancellation

• Cancel anytime via the billing portal in your account settings
• Access continues until the end of the billing period
• No refunds for partial months

5. Your Content

5.1 Ownership

You retain ownership of all recordings, transcripts, and data you upload.

5.2 License to Us

You grant us a limited license to process, store, and display your content solely to provide the service.

5.3 Your Responsibility

You are responsible for ensuring you have the right to upload content, including any consent required from conversation participants under applicable recording laws. Do not upload illegal, fraudulent, or harmful content.

6. AI Processing

6.1 Consent

By using HeyDiane, you consent to your recording data being processed by AI services (ElevenLabs, OpenAI) for transcription, summarization and assistant answers.

6.2 Accuracy

AI transcription and summarization are not 100% accurate. Always verify transcripts and answers before using them for official purposes.

6.3 No Liability

We are not liable for errors in AI-generated transcripts, summaries or answers. You are responsible for reviewing and correcting them.

7. Connected Sources

7.1 Feature

You may connect external sources (email address, Google Drive, Dropbox, OneDrive, HeyPocket). We access connected folders only to import new audio files from the folder you selected.

7.2 Responsibility

You are responsible for the content of the sources you connect and may disconnect them at any time in Settings.

8. Team Access

Workspaces may include additional members. Workspace owners are responsible for actions taken by their members.

9. Prohibited Uses

You may not:

• Use the service for illegal purposes, including unlawful recording of conversations
• Upload content you have no right to process
• Attempt to circumvent security measures
• Reverse engineer the application
• Resell or redistribute the service
• Use automated systems to abuse the service

10. Intellectual Property

10.1 Our Property

HeyDiane, including its design, features, and code, is owned by S&C Holding GmbH.

10.2 Trademarks

"HeyDiane" and associated logos are trademarks of S&C Holding GmbH.

11. Disclaimer of Warranties

HeyDiane is provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted service
• Error-free operation
• Accuracy of AI transcription or answers
• Suitability for legal or evidentiary purposes

12. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid us in the 12 months before the claim
• We are not liable for data loss if you have not exported your data

13. Indemnification

You agree to indemnify us against claims arising from:

• Your use of the service
• Your content, including recordings made without required consent
• Your violation of these Terms

14. Termination

14.1 By You

You may delete your workspace and account at any time in Settings.

14.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Fraudulent activity
• Non-payment
• Extended inactivity (12+ months)

14.3 Effect

Upon termination, your data will be deleted within 30 days.

15. Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be communicated via email.

16. Governing Law

These Terms are governed by Austrian law. Disputes shall be resolved in the courts of Vienna, Austria.

17. Severability

If any provision is found unenforceable, the remaining provisions remain in effect.
